Version v3.2, effective October 30, 2026
In these terms, “we”, “us” and “our” mean Ada Gen Intel LLC. “You” means the client named in the order. “Order” means the order you place and pay for at checkout (or sign), which states the tier, scope and price. “Including” means including without limitation. “Business day” means a weekday other than a US federal holiday, and deadlines run in US Central Time. Headings are for convenience only.
0. Parties; acceptance.
These terms form an agreement between Ada Gen Intel LLC, a Minnesota limited liability company (“we”), and the business named in the order (“you”). You accept these terms (version v3.2, October 30, 2026) by checking the agreement box and paying at checkout, or by signing the order. Acceptance by electronic means is binding. The person accepting represents that they have authority to bind the client and that the client is buying for business purposes.
1. Service.
We will perform an offline, AI-assisted security review of your smart contracts as described in the order (tier, scope, price). The order and these terms are the whole agreement (see also clause 21).
2. Scope and commit.
The order names the repository, the exact commit hash, the in-scope files and the counted SLOC. We review only those files at that commit. Later changes, other files, off-chain components, front ends and infrastructure are out of scope. If the scope turns out larger or more complex than ordered, we tell you before work starts, and you may upgrade the tier or cancel for a full refund.
3. Testing method.
We work offline on local copies with a local test framework. We do not touch live systems: no RPC calls, no forks of live chains, no transactions, no calls to deployed contracts, no testing of websites, APIs or servers. Fork data or addresses you share are used locally only.
4. Payment upfront.
The full price is due before work starts, by Stripe payment link. The turnaround clock starts when we have payment and a confirmed scope and commit. Extra fix-review passes and add-ons are paid before they start. A chargeback or reversal after delivery entitles us to suspend further work and to recover the fees owed.
5. Timeline.
Delivery times in the offer are targets, not guarantees. Delays on your side (for example unanswered scope questions) extend the date. We tell you early if we expect to miss it.
6. Deliverables.
A PDF report; a runnable proof-of-concept (PoC) test for every reported finding of Low severity or above, with Informational notes clearly marked as such and given without a PoC (see clause 9); and one fix-review pass within 30 days of the report. Fix review covers your changes made to address findings, not a fresh review of the codebase.
6A. Deliverable check.
Within 10 business days after delivery, you may notify us in writing, with reasonable detail, that the report does not cover the in-scope files at the ordered commit or lacks a required PoC. We will correct and resend within 10 business days. If we cannot, we refund 50% of the fees paid. This is your only remedy for a deliverable that does not match the order. The report is deemed accepted if you do not notify us within that period. This clause concerns whether the deliverable matches the order, not whether the review found every issue (see clause 10).
7. Confidentiality.
Your code, findings and report are confidential. We protect your code with at least reasonable care. We share it only with you and your named team, and we do not publish or post it. Our tooling may process your code through the AI service providers described in clause 9, under confidentiality terms; tell us before we start if your code cannot leave your control, and we will decline or adapt. You may share the report as you wish, subject to clause 14. Exceptions are in clause 22.
8. Publication only with consent.
We publish nothing about your project, findings or the engagement (including naming you as a client) without your written consent for that specific publication. Refusing has no effect on the service.
9. AI assistance and human oversight.
(a) How the review is done. The review is carried out mainly by artificial-intelligence systems (large language models and automated analysis tools). The owner of Ada Gen Intel LLC decides which engagements we accept and sets up and directs the tools. The owner does not manually re-verify every finding or read every line of the in-scope code. No other people review your code unless we tell you in writing before work starts.
(b) Verification we do provide. Every reported finding of Low severity or above comes with a runnable proof-of-concept test that we ran against the code at your ordered commit. Informational notes are marked and have no PoC. A passing PoC shows the issue we described can be reproduced, not that it is the only issue or that our severity rating is right.
(c) Limits. AI systems can miss vulnerabilities, report false findings, rate severity wrongly, or contradict themselves. The report is not a substitute for human review of your contracts by a qualified person. You should have your own team or another auditor review the findings, run your tests and decide what to fix. We are not an established audit firm and claim no credentials, certifications or testimonials we do not hold.
(d) Providers. To perform the review we send your code to the third-party AI service providers listed at https://adagi.blog/ai-providers/, which we keep current and update before using a new provider for your order; if you object to a listed provider, tell us before work starts. Our current AI provider is Anthropic, PBC (see the list). Our account is set so that our inputs are not used to train its models. The provider’s own terms and privacy policy contain exceptions, for example for content flagged for safety review or submitted as feedback, and may change. See clause 7.
(e) No training by us; no reuse of your code. We do not use your code to train any model. We also do not use your findings or report to train or fine-tune any AI model, and we do not put them in any dataset, prompt library or public example. We may keep general, non-confidential learnings (clause 23).
(f) Output and ownership. As between you and us, you keep all rights in your code. To the extent the law allows, we assign you whatever rights we have in the text of the report and the PoCs, except our tools, prompts and methods (clauses 14 and 23). AI-generated text and code may not be protected by copyright, and may resemble material produced for others; we do not warrant that the report is original or non-infringing as to its AI-generated parts.
(g) What you must not do. You must not describe the report as human-audited, certified, or a guarantee, or as an assessment by a licensed or accredited firm.
10. No guarantee; no certification; limited warranty.
The review is a time-limited, best-effort analysis of the agreed files at the agreed commit. It is not a guarantee, warranty, certification or insurance that the contracts are secure or free of vulnerabilities, and it may miss issues, including serious ones. We warrant only that we will perform the review in a professional manner with reasonable skill and care consistent with the AI-assisted, time-limited method described in clauses 2, 3 and 9, and that the report will cover the ordered files. Your remedy for breach of that warranty is clause 6A. We disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. Do not rely on the report as your only security measure or describe it as a certification. You are responsible for deployment, upgrades, key management, monitoring, bug bounties, and decisions to launch.
11. LIMITATION OF LIABILITY. PLEASE READ.
(a) TO THE MAXIMUM EXTENT THE LAW ALLOWS, THE TOTAL LIABILITY OF ADA GEN INTEL LLC AND ITS MEMBER, AGENTS AND AI TOOLS ARISING OUT OF OR RELATING TO THIS AGREEMENT, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, IS LIMITED TO THE FEES YOU PAID FOR THE ORDER.
(b) WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES, LOST PROFITS, LOSS OF TOKENS OR DIGITAL ASSETS, LOSS OF FUNDS FROM ANY EXPLOIT, OR LOSS OF GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY.
(c) THESE LIMITS DO NOT APPLY TO LIABILITY FOR FRAUD, GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR ANY LIABILITY THAT CANNOT BE LIMITED BY LAW.
(d) YOU ACKNOWLEDGE THAT THE PRICE REFLECTS THIS ALLOCATION OF RISK.
(e) YOUR TOTAL LIABILITY TO US (OTHER THAN FOR FEES OWED AND YOUR INDEMNITY IN CLAUSE 18) IS ALSO LIMITED TO THE FEES FOR THE ORDER.
12. Refunds.
- 100% refund if you cancel before work starts, or if we decline the scope or cannot begin within 7 days of payment.
- 50% refund if we cannot deliver the report after work has started.
- “Work has started” means we have confirmed the scope and commit in writing and begun analysis. “Cannot deliver” means we notify you in writing that we are unable to complete the review, or the report is not delivered within 14 days after the target date and you cancel in writing before delivery; the refund then is 50% of the fees paid. We may instead choose to complete the review late.
- If you cancel after work has started, there is no refund of fees for work started.
- No refund once the report is delivered, except under clause 6A, and not because the review found few or no issues, or for delays or scope changes on your side.
- Refunds are paid by the same method within 14 days.
- You are a business buying for business purposes. Do not dispute a charge with your bank or card issuer before contacting us at ada.genintel@gmail.com and giving us 10 business days to resolve it.
13. No conditional disclosure.
Findings from your paid review go only to you. We never ask anyone for payment, a reward or work in connection with a vulnerability found outside a paid engagement, and no disclosure is tied to a sale.
14. Ownership of the report; licence; publication.
You keep your code. Subject to clause 9(f), we give you a perpetual, worldwide, non-exclusive licence to use, copy and share the report and PoCs, unmodified, for your project, including with your users, investors and other auditors, and to transfer that licence with your project if you sell it. If you publish or quote the report, you must publish it complete and unmodified and say that it is a time-limited, AI-assisted review at the stated commit, and not an endorsement or certification. Our tools and methods remain ours (clause 23).
15. Ending early.
Either party may end the engagement in writing. We may end it immediately if you breach clause 16 or 18, or do not pay. Refunds follow clause 12; for work already performed there is no refund unless clause 12 says so. Changes to an order must be in writing.
16. Sanctions and export compliance.
You represent that you, your owners and controlling persons, and anyone on whose behalf you order are not (a) on any US government sanctions list, including OFAC’s SDN List, (b) located in, organized under the laws of, or ordinarily resident in a country or region subject to comprehensive US sanctions, or (c) owned 50% or more by persons described in (a). You will tell us at once if that changes. Before accepting an order we screen the client’s name, country and, where provided, wallet addresses against US sanctions lists. If your team is anonymous or pseudonymous, you must give us a named, screenable contact person (full legal name and country) before we accept the order; if you do not, we decline. We may decline, suspend or end any engagement to comply with law. If we decline an order before work starts we refund it in full; if we must end an engagement after work has started, we will refund as the law permits, and may be required to block funds. You will not export or re-export the report or PoCs in violation of US export or sanctions law. Neither party will offer or accept anything of value to improperly obtain business.
17. Governing law and disputes.
This agreement is governed by the laws of the State of Minnesota, without regard to conflict-of-laws rules. The parties will first try to resolve any dispute by written notice and good-faith discussion for 30 days. If unresolved, the dispute will be finally resolved by confidential binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, by one arbitrator, seated in Saint Paul, Minnesota, with hearings by video allowed. Judgment on the award may be entered in any court with jurisdiction. Either party may seek an injunction, without posting a bond, in the state or federal courts located in Ramsey County, Minnesota to protect confidential information or intellectual property, and both parties consent to those courts’ jurisdiction for that purpose and for enforcing an award. Either party may instead bring an individual claim in small claims court. Remedies not stated to be exclusive are cumulative; the remedy in clause 6A is exclusive as stated there. Each party bears its own legal fees unless the arbitrator decides otherwise.
18. Client responsibilities and indemnity.
You represent that you have the right to give us the code and that sharing it does not violate any law, licence or third-party right. You will defend and indemnify us against third-party claims arising from (a) your breach of the first sentence of this clause, or (b) your publication of the report in breach of clause 14, except to the extent caused by our fraud or intentional misconduct. We will give you prompt notice of a claim and reasonable help at your expense, and you control the defense; you may not settle any claim in a way that admits fault by us without our written consent.
19. Events beyond our control.
Neither party is liable for delay or failure caused by events beyond its reasonable control, including outages of cloud, AI-model or payment providers, internet or power failures, government action, or the unavailability of the owner for health reasons. This does not excuse payment of fees for work done. We will tell you promptly and the timeline extends. If the delay exceeds 30 days, either party may cancel and we refund the fees for unperformed work.
20. Relationship.
We are an independent contractor. Nothing here creates a partnership, employment, agency or fiduciary relationship. We do not provide legal, financial or investment advice, and we do not take custody of any keys or assets.
21. Entire agreement; precedence; changes.
The order and these terms are the entire agreement and replace all earlier discussions. If they conflict, the order controls only for tier, scope, price and dates; these terms control otherwise. Your purchase order, procurement terms or vendor forms do not apply, even if we sign or accept them, unless an authorized signatory of Ada Gen Intel LLC expressly agrees in writing. If you and we sign a separate written agreement for this order, it controls to the extent of any conflict only if it is signed by an authorized signatory of Ada Gen Intel LLC and names this order. Any confidentiality agreement we have signed with you applies in addition; where both cover the same information, the more protective term for the disclosing party applies. Changes to these terms need our written agreement; we may update these terms for future orders by posting a new version, which does not change accepted orders. No one other than you and us may enforce these terms. We do not intend to process personal data to deliver the review. Do not send personal data in the code or materials. If a legal requirement obliges a data processing agreement, tell us before the order; we can decline.
22. Confidentiality exceptions.
Clause 7 does not apply to information that is public through no fault of ours, that we already knew or independently developed, or that we are required to disclose by law, subpoena or court order (we will tell you first where the law allows, and reasonably cooperate, at your cost, with your effort to obtain confidential treatment). We may disclose information to our professional advisers, insurers, and the service providers needed to run the review (including payment and AI providers), under duties of confidentiality at least as protective as clause 7, and we remain responsible for their compliance.
23. Our tools and methods.
We keep all rights in our tools, prompts, scripts, templates, methods and general knowledge, including improvements made during the engagement, but not your code or the confidential content of your report. We may reuse general techniques and non-confidential learnings in other work, and keep aggregated, anonymized data about the engagement that does not identify you or your code.
24. Severability; waiver.
If a part of these terms is unenforceable, it is limited to the minimum extent needed and the rest stays in force. A delay in enforcing a right is not a waiver of it.
25. Assignment.
You may not assign these terms without our written consent. We may assign them to an affiliate or a successor to our business, and will tell you.
26. Notices.
Notices must be in writing and sent by email: to us at ada.genintel@gmail.com, and to you at the email address in the order. A notice is received on the next business day after it is sent, unless the sender gets a delivery failure message. Either party may update its address by notice.
27. Survival.
Clauses 6A, 7, 8, 9(d) to 9(g), 10, 11, 13, 14, 17, 18, 21 to 24 and 27 survive the end of this agreement, as does any accrued payment or refund obligation.
28. Taxes.
Prices exclude taxes. You are responsible for any sales, use, value-added, withholding or similar taxes that apply to your purchase, other than taxes on our income. If we must collect a tax, we will add it to the invoice.
